This License Agreement ("Agreement") is between you and World City Press, Inc. (dba Syndicate My News!!!) herein after referred to as Syndicate My News!!!. The distribution and/or use of any Syndicate My News!!! articles, photos or images ("Content") constitutes your acceptance of these terms.

License Terms

1. Syndicate My News!!! is providing its Content to you free of charge in consideration of the License Terms of this Agreement.

2. Syndicate My News!!! has the right to refuse service at anytime to any print publication or website, including those that display pornography, adult content, racist or hate-related material.

Permitted Uses and Rights. You May:

(i.) Use Syndicate My News!!! Content at any time on any website or print publication including those that display advertising, editorial content or consumer merchandise.

Prohibited Uses and Restrictions. You May Not:

(i.) Remove Syndicate My News!!! attributions, symbols or author bylines.

(ii.) Distort, edit, cut or change any Photos or Images.

(iii.) Edit any Content, remove or add links.

(iv.) Display or distort Content in such a way as to change its meaning.

(v.) Use the Content in any way that could be considered defamatory, fraudulent, libelous, obscene, immoral or pornographic.

(vi.) Display Images or Photos separately from Content. Or link Images or Photos to websites or webpages.

(vii.) Re-sell, distribute of sub-license Content to any third party without that Party agreeing to the Terms of this Agreement.

(viii.) Represent Content as being yours. Including using Content as part of a logo, trademark, or service mark.

(ix.) Use the Content if you are a competitor of Syndicate My News!!!

(x.) Use the Content in any way that disparages or devalues Syndicate My News!!! or its clients' business, reputation or goodwill.

(xi.) Modify Syndicate My News!!! Content in any way for the purposes of developing a CPC (cost-per-click) or CPA (cost-per-action) model.

Indemnification:

(i.) You agree to indemnify and hold Syndicate My News!!! harmless against all claims or liability asserted against Syndicate My News!!! arising out of or in connection with any breach of the Terms of this Agreement.

(ii.) Syndicate My News!!! has the right to request you remove any Content from your website in cases where clients choose to withdraw their Content from distribution.

(iii.) You agree to replace any Content Syndicate My News!!! may request due to errors or incorrect information contained in that Content.

This License Agreement or any of its Terms may be subject to change at any time. Please check back periodically for any changes.
